1. Acceptance of Terms

By accessing and using our notarial document certification services in Singapore, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you (the "Client") and our notarial services (the "Service Provider"). If you do not agree with any part of these terms, you must discontinue use of our services immediately.

Important: Your continued use of our services following any modifications to these terms constitutes acceptance of such changes. We reserve the right to update these terms at any time without prior notice.

2. User Obligations and Responsibilities

2.1 Document Authenticity

Clients are solely responsible for ensuring that all documents submitted for notarial certification are genuine, accurate, and legally obtained. You warrant that:

  • All information provided in documents is truthful and complete
  • You have the legal right and authority to present documents for notarization
  • Documents are not forged, altered, or obtained through fraudulent means
  • You possess valid identification as required under Singapore law
  • You understand the legal implications of notarizing documents

2.2 Compliance with Laws

Clients must comply with all applicable Singapore laws, regulations, and international conventions governing notarial services. This includes but is not limited to the Legal Profession Act, the Apostille Act, and relevant international treaties. Failure to comply may result in immediate termination of services and potential legal consequences.

2.3 Personal Appearance

For certain documents, personal appearance before the notary may be mandatory. Clients must present themselves with valid government-issued identification and be prepared to verify their identity through additional means if required. Proxy appearances are not permitted unless specifically authorized by law.

3. Service Limitations and Scope

3.1 Services Provided

Our notarial services are limited to the certification, authentication, and legalization of documents in accordance with Singapore law. We provide:

  1. Notarization of signatures and documents
  2. Certification of true copies
  3. Authentication for international use
  4. Apostille services where applicable
  5. Translation certification when coupled with authorized translators

3.2 Service Exclusions

We do not provide:

  • Legal advice or consultation on document content
  • Representation in legal proceedings
  • Guarantee of document acceptance by foreign authorities
  • Services for documents that violate Singapore law or public policy
  • Notarization of incomplete or improperly executed documents

3.3 Turnaround Time

While we strive to provide efficient services, processing times may vary depending on document complexity, volume, and verification requirements. Standard processing typically takes 3-5 business days. Express services may be available at additional cost. We are not liable for delays caused by circumstances beyond our reasonable control.

4. Intellectual Property Rights

4.1 Website Content

All content on our website, including text, graphics, logos, images, designs, software, and compilation thereof, is the exclusive property of the Service Provider or its licensors and is protected by Singapore and international copyright, trademark, and intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

4.2 Client Documents

Clients retain all intellectual property rights to documents submitted for notarization. By using our services, you grant us a limited, non-exclusive license to process, store, and handle your documents solely for the purpose of providing notarial services. We do not claim ownership of your documents or their content.

4.3 Restrictions

You may not reproduce, modify, distribute, display, perform, or create derivative works from any content on our website without express written permission. Systematic retrieval of content to create databases or directories is prohibited.

5. Fees and Payment Terms

5.1 Service Fees

All fees for notarial services are clearly stated and must be paid in full before service completion. Fees are subject to change without prior notice. Current fee schedules are available upon request and are based on document type, complexity, and urgency.

5.2 Payment Methods

We accept various payment methods including bank transfers, credit cards, and digital payment platforms. All payments must be made in Singapore Dollars unless otherwise agreed. Additional charges may apply for international payment methods.

5.3 Refund Policy

Fees are generally non-refundable once services have commenced. Refunds may be considered only in cases of service non-delivery due to our fault. Refund requests must be submitted in writing within 14 days of service date.

6. Confidentiality and Data Protection

6.1 Confidentiality Obligations

We maintain strict confidentiality regarding all client documents and information in accordance with professional standards and Singapore's Personal Data Protection Act. All staff members are bound by confidentiality agreements and professional codes of conduct.

6.2 Data Storage and Security

Client documents and personal information are stored securely using industry-standard encryption and security measures. We implement physical, electronic, and procedural safeguards to protect your information from unauthorized access, disclosure, or destruction.

6.3 Data Retention

Documents and records are retained for the period required by Singapore law, typically seven years from the date of notarization. After this period, documents are securely destroyed unless you request otherwise or legal obligations require extended retention.

7. Liability Limitations and Disclaimers

7.1 Service Warranty

While we exercise due diligence and professional care in providing notarial services, we make no warranties regarding the acceptance of notarized documents by third parties, government agencies, or foreign jurisdictions. The validity and legal effect of notarized documents depend on applicable laws and regulations of the receiving jurisdiction.

7.2 Limitation of Liability

To the maximum extent permitted by Singapore law:

  • Our total liability shall not exceed the fees paid for the specific service in question
  • We are not liable for indirect, consequential, or punitive damages
  • We are not responsible for losses arising from client's misrepresentation or document defects
  • We are not liable for delays or failures due to force majeure events

7.3 Professional Indemnity

We maintain professional indemnity insurance as required by Singapore law. However, this does not extend our liability beyond the limitations stated herein. Claims must be notified within reasonable time of discovery.

7.4 Third-Party Services

We may engage third-party service providers for translation, courier, or authentication services. While we select reputable providers, we are not liable for their acts, omissions, or service failures beyond our reasonable control.

8. Dispute Resolution and Governing Law

8.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Singapore. Any legal proceedings arising from these terms or our services shall be subject to the exclusive jurisdiction of Singapore courts.

8.2 Dispute Resolution Process

In the event of any dispute, controversy, or claim arising from these terms or our services, the parties agree to the following resolution process:

  1. Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation within 30 days of written notice
  2. Mediation: If negotiation fails, disputes shall be referred to mediation at the Singapore Mediation Centre
  3. Arbitration: Unresolved disputes shall be finally settled by arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre

8.3 Arbitration Terms

Arbitration shall be conducted by a single arbitrator appointed by mutual agreement or, failing agreement, by the appointing authority. The seat of arbitration shall be Singapore, proceedings shall be in English, and the arbitrator's decision shall be final and binding on all parties.

8.4 Class Action Waiver

All disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Class arbitrations and class actions are not permitted.

9. Termination and Suspension

9.1 Right to Refuse Service

We reserve the right to refuse or terminate services at any time if we reasonably believe that documents are fraudulent, services are being used for illegal purposes, or you have breached these terms. In such cases, fees may be forfeited.

9.2 Client Termination

Clients may cancel services before commencement with full refund. Cancellations after commencement may result in partial fee retention based on work completed. Written notice is required for all cancellations.

9.3 Effect of Termination

Upon termination, all outstanding fees become immediately due and payable. Provisions regarding confidentiality, intellectual property, liability limitations, and dispute resolution survive termination indefinitely.

10. Miscellaneous Provisions

10.1 Entire Agreement

These Terms and Conditions constitute the entire agreement between parties and supersede all prior understandings, agreements, or representations, whether written or oral, relating to the subject matter herein.

10.2 Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Invalid provisions shall be modified to the minimum extent necessary to make them valid and enforceable.

10.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

10.4 Assignment

You may not assign or transfer these terms or any rights hereunder without our prior written consent. We may assign these terms to any affiliate or successor entity without restriction.

10.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, government actions, pandemics, or technological failures.

Acknowledgment and Consent

By using our notarial services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. You confirm that you have the legal capacity to enter into this agreement and that you will comply with all obligations set forth herein.
